The terms and conditions governing your use of GuideLab.

These Terms of Service ("Terms") govern your access to and use of the GuideLab platform and services ("Services") provided by GuideLab Inc. ("GuideLab," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

GuideLab provides a cloud-based dental lab management platform that enables dental laboratories and clinics to:

  • Manage dental case workflows and production
  • Track orders, materials, and inventory
  • Communicate between labs and clinic partners
  • Generate reports and analytics
  • Integrate with dental equipment and software

3. Account Registration

To use certain features of the Services, you must register for an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Attempt to gain unauthorized access to any part of the Services
  • Interfere with or disrupt the Services
  • Upload malicious code or content
  • Use the Services to transmit spam or unsolicited communications

5. Data Ownership and Usage

Your Data

You retain all rights to the data you upload to the Services ("Your Data"). You grant GuideLab a limited license to use Your Data solely to provide and improve the Services.

Aggregated Data

We may create anonymized, aggregated data derived from Your Data for analytics, benchmarking, and service improvement purposes. Such aggregated data will not identify you or your patients.

6. Healthcare Compliance

If you are a covered entity or business associate under HIPAA, you acknowledge that:

  • You are responsible for your own HIPAA compliance obligations
  • GuideLab will enter into a Business Associate Agreement upon request
  • You will not upload protected health information (PHI) unless you have a BAA in place with us

7. Payment Terms

If you subscribe to a paid plan, you agree to pay all fees associated with your subscription. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

  • Subscription fees are billed in advance on a monthly or annual basis
  • We may change our fees with 30 days' notice
  • Failure to pay may result in suspension or termination of your account

8. Intellectual Property

The Services, including all software, designs, and content, are owned by GuideLab and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

9. Termination

Either party may terminate these Terms at any time. Upon termination:

  • Your access to the Services will cease
  • You may request export of Your Data within 30 days of termination
  • We may delete Your Data after 90 days following termination

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

GuideLab is a practice management tool and does not provide dental, medical, or clinical advice. All clinical decisions remain the responsibility of licensed dental professionals.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUIDELAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold GuideLab harmless from any claims, losses, or damages arising from your use of the Services, your violation of these Terms, or your violation of any rights of another.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use after such notice constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.
